How a contract is formed between you and us

4. Who pays for shipping exchange or return items back to ediaro.com?
In a normal event, the customer will be responsible for shipping their items back to us, whereas we shall be responsible for re-shipping exchange items back to you.
Thus, we suggest you make careful selections for clothing before you finalize your order. Please refer to the appropriate size chart information when ordering clothes.

At ediaro.com, we want you to be delighted every time you shop with us. You can always return items if they are defective or sent incorrect. If you are not satisfied with the product or if we supply the wrong product or any way fault or damage, we will exchange it for the correct one. We will make a reasonable effort to exchange the product, but if replacement is not possible, we will refund your purchase price including delivery costs.
If you would like to exchange your purchase, please follow the normal return process and then place a new order online or contact us first.
Please note that when you want to return an order, email or telephone, mention your Order ID, item Code, Name and reason for returning the product.
The items must be returned in their original form, should be without any marking and damage. The items can be returned in the following manner:
The customer’s request for return must be made within two days of the receipt of the goods.
The cost of returning the item will be the customer’s responsibility. When returning the item, you must ensure that it is not lost or damaged in transit. Therefore, we advise you to opt for a signed for delivery service. Please note that it can take up to 7 days for the item to reach its destination, so make sure you allow enough time. We will not accept returns for items that have been damaged post delivery. If this is the case, the item will be returned to the customer at the customer’s expense.

Custom Products, Custom softwares, Ebooks, Domain Hosting, Web Hosting and other related products and services cannot be returned.
For Clothing and other related products, when orders are based on the measurements/sizes that you provide on our website by email, phone or fax. ediaro.com will not be responsible for any inaccuracies in the final product (your custom order) in lieu of the measurements provided. Please note that before dispatching an order, we take photographs and record each measurement part of the Cloth and keep them in record so that if any misfit case arise we first investigate it by checking measurements from our library. We do not accept returns or exchanges of custom orders. If they are sent incorrect, defective or not fit in accordance to the size ordered we’ll offer you a free fix.
Custom, Oversize, or hazardous items cannot be returned. Items that have been used will not be accepted as returns or exchanges. Items which have any stains, emit, body odours or perfume scents, have any kind of marks, damages or water stains will not be accepted for returns or exchanges.
There is no refund for shipping and handling charges.
If you would like to return an item, please contact us with the following details: your: order number, name, address and a brief reason why you want to return the item.
If your return request is approved, we will send you a confirmation email containing a confirmation code and the return address. Please print this email and include it with the item when returned. We advise you to opt for a signed for delivery, as we are not able to accept responsibility for items that fail to reach us.

These are the standard terms and conditions for Website Design and Development and apply to all contracts and all work undertaken by Fladio International Nigeria Limited (ediaro.com) for its clients.
The following Terms and Conditions document is a legal agreement between Fladio International Nigeria Limited (ediaro.com), hereafter “ the developer or Fladio International Nigeria Limited (ediaro.com)”, and “the Client” for the purposes of website design or development. These Terms and Conditions set forth the provisions under which the Client may use the services supplied.
Permission and Copyright
Copyright of the completed web designs, images, pages, code and source files created by Fladio International Nigeria Limited (ediaro.com)for the project shall be with the Client upon final payment only by prior written agreement. Without agreement, ownership of designs and all code is with the Fladio International Nigeria Limited (ediaro.com).
The Client agrees that resale or distribution of the completed files is forbidden unless prior written agreement is made between the Client and Fladio International Nigeria Limited (ediaro.com).
Client must obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trade marks, or any other material that you supply to us to include in your website or web applications.
The Client hereby agrees that all media and content made available to Fladio International Nigeria Limited (ediaro.com)for use in the project are either owned by the Client or used with full permission of the original authors. The Client agrees to hold harmless, protect and defend Fladio International Nigeria Limited (ediaro.com)from any claim or suit that may arise as a result of using the supplied media and content.
Client must indemnify Fladio International Nigeria Limited (ediaro.com) and hold us harmless from any claims or legal actions related to the content of your website.
The Client agrees that Fladio International Nigeria Limited (ediaro.com)may include development credits and links within any code Fladio International Nigeria Limited (ediaro.com)designs, builds or amends. If Fladio International Nigeria Limited (ediaro.com) designs a website for a Client, then the Client agrees that Fladio International Nigeria Limited (ediaro.com)may include a development credit and link displayed on the Client’s website.
If Fladio International Nigeria Limited (ediaro.com)builds or amends a website for a Client, then the Client agrees that Fladio International Nigeria Limited (ediaro.com)may include a development credit and link displayed on the Client’s web page, which may be within the code but not displayed on a web browser if requested by the Client.
The Client agrees that Fladio International Nigeria Limited (ediaro.com) reserves the right to include any work done for the Client in a portfolio of work.
The Client agrees to abide by the terms of any third party software or media included within any work done for the Client. Examples of this include, but are not limited to, Googlemaps, Media under the Creative Commons license, RSS feeds, Open Source GPL Software etc.
Fladio International Nigeria Limited (ediaro.com)reserves the right to refuse to handle:
1. Any media that is unlawful or inappropriate.
2. Any media that contains a virus or hostile program.
3. Any media that constitutes harassment, racism, violence, obscenity, harmful intent or spamming.
4. Any media that constitutes a criminal offence, or infringes privacy or copyright.
Domain names and Hosting
Fladio International Nigeria Limited (ediaro.com )can, at its own discretion, but is not obliged to, offer domain name registration and hosting via a third party service.
The Client agrees that registration of a domain name does not provide endorsement of the right to use the name. The Client is responsible for ensuring they have due title to the domain name. Fladio International Nigeria Limited (ediaro.com)holds no liability and the Client hereby agrees to indemnify and hold harmless Fladio International Nigeria Limited (ediaro.com)from any claim resulting from the Client’s registration of a domain name.
The domain name is registered in the Client’s own name, with the address and contact details of Fladio International Nigeria Limited (ediaro.com)or the client. The Client should be aware that a domain name is registered with a third party and as such the Client shall agree to fully abide by the terms and conditions set out by the third party for such services.
The Client agrees to take all legal responsibility for use of third party domain name and hosting services and supply truthful details to the third party services.
The Client agrees that information submitted for registration of domain names is then available to the general public via the Whois system. However, Clients who are using their website for non-trading purposes may ask the third party registrar for their contact information not to be included in the Whois system.
The Client is liable to pay Fladio International Nigeria Limited (ediaro.com) for any domain name registrations and the initial set-up of the hosting if included as part of the website build.
Any support relating to the domain name, hosting and email services is between the Client and the third party service, thru Fladio International Nigeria Limited (ediaro.com).
Any other domain name and hosting services or costs not included by Fladio International Nigeria Limited (ediaro.com), including but not limited to further domain name registration fees, domain name transfer charges, yearly domain name renewals, hosting charges, yearly hosting renewals, hosting upgrades, extra disk space, bandwidth and any other related or hidden charges, are to be paid by the Client to thru Fladio International Nigeria Limited (ediaro.com)to the third party for the services.
The Client agrees to pay the domain name and hosting fees as soon as required by the third party. Any modifications needed to the domain name or hosting services are to be made between the Client and third party service thru the Fladio International Nigeria Limited (ediaro.com).
The Client agrees that if at any time their contact details, including email address, change, it is their responsibility to contact the the third party(thru Fladio International Nigeria Limited (ediaro.com)) and update their contact details. Failure to do so may mean that renewal invoices for the domain name and hosting services are not received by the Client.
Payment for domain name and hosting services is to be made immediately on receipt of an invoice from the third party service. Failure to comply with the payment terms may result in the Client’s domain name becoming available to another party and/or the website and email services becoming unavailable.
The Client agrees to pass on FTP details and any other access details relating to their domain name and hosting account that Fladio International Nigeria Limited (ediaro.com) requires to upload the website if required as part of a project.
Fladio International Nigeria Limited (ediaro.com)reserves the right without notice to cancel, reject or refuse work with domain names or hosting services without reason for such rejection or refusal.
The Client agrees to be liable for their use of the domain name, hosting and email services with the third party and hereby agrees to indemnify and hold harmless Fladio International Nigeria Limited (ediaro.com)from any claim resulting from the Client’s publication of material and use of the domain name, hosting and email services.
The Client agrees to take full responsibility for all usage of the domain name, hosting and email services and to fully abide by the terms and conditions set out by the third party for such services.
The Client agrees that an HTML page built from a graphic design may not exactly match the original design because of the difference between the display in design software and the rendering of HTML code by Internet browser software. Fladio International Nigeria Limited (ediaro.com)agrees to try to match the design as closely as is possible when building the code.
During a website project it is important that the Client communicates information to Fladio International Nigeria Limited (ediaro.com)to achieve the required result.
The Client agrees they would be responsible for managing their website independently, although Fladio International Nigeria Limited (ediaro.com)would give them necessary guidelines and manuals. Fladio International Nigeria Limited (ediaro.com)would charge extra for managing the website for the client, although, he might choose to do it for FREE at it’s own discretion. All alterations are to be requested in writing either by email or postal mail by the Client. If the alterations are very much and constant, either in design or coding, Fladio International Nigeria Limited (ediaro.com)reserves the right to advise the Client of such and send a separate quotation to the Client and to request payment for any further alterations. Fladio International Nigeria Limited (ediaro.com)reserves the right to request payment be received for further alterations before continuing work. Upon completion of agreed design, the Client is asked to confirm in writing by email or postal mail that the design and the screen size is signed off as complete and agree that any further design alterations are chargeable.
If the Client requests design or content alterations to pages that have already been completed, new pages or different functionality other than that specified in the original quotation, Fladio International Nigeria Limited (ediaro.com)reserves the right to quote separately for these alterations.
If optimised pages are included as part of the project, Fladio International Nigeria Limited (ediaro.com)will optimise the Client’s web pages that already make up part of the project.
Optimised pages is not creation of new pages. The optimisation of the web pages can include the meta tags, keywords, description, title, alt tags and text provided by the Client.
Fladio International Nigeria Limited (ediaro.com) endeavours to create pages that are accessible to search engines. However, Fladio International Nigeria Limited (ediaro.com)gives no guarantee that the site will become listed with search engines.
If an error or issue with the design or code arises during the project, which does not allow the design or code to match the original specification, then the Client agrees that Fladio International Nigeria Limited (ediaro.com)can apply a nearest available alternative solution.
Fladio International Nigeria Limited (ediaro.com)at all times applies reasonable skill and care in provision of services.
On request, Fladio International Nigeria Limited (ediaro.com)can create a copy of the website on one CD to be posted to the Client on project completion. A small charge will be made to cover the cost of this, unless quoted otherwise.
Once the project is completed, Fladio International Nigeria Limited (ediaro.com)will upload the website to the Client’s live web address if included as part of a project.
After site completion, a Client or a third party of their choosing may wish to edit their website code themselves to make updates. However, the Client agrees that in so doing they assume full responsibility for any issues which occur as a result of changing the code themselves. If the Client or a third party of their choosing edits the website code and this results in functionality errors or the page displaying incorrectly, then Fladio International Nigeria Limited (ediaro.com)reserves the right to quote for work to repair the website.
Fladio International Nigeria Limited (ediaro.com)reserves the right to assign subcontractors in whole or as part of a project if needed.
Fladio International Nigeria Limited (ediaro.com) will keep a copy of the site and design source files when a website project is being worked on. However, the Client agrees that it is their responsibility to have regular backups made by themselves or the third party hosting services in case of a software or hardware failure at the third party hosting servers.
Fladio International Nigeria Limited (ediaro.com) will act as the prime contractor for the development and will sub-contract specific portions of the task as required, except that Fladio International Nigeria Limited (ediaro.com) permanent staff will act as Project Managers and primary contact point for all dealings with the client.
Fladio International Nigeria Limited (ediaro.com) and its sub-contractors shall ensure that the services are carried out with reasonable care and skill in accordance with the client’s instructions. In the event of any element of the services provided being unacceptable, and it being shown that this is due to negligence on the part of Fladio International Nigeria Limited (ediaro.com) and its sub-contractors, then our only obligation shall be either to repeat that element of the service at no extra cost, or to refund (or waive) any money paid (or payable) for that element of the service. These warranties specify the entire liability. Whilst Fladio International Nigeria Limited (ediaro.com) will take all necessary steps to ensure that delivered applications are complete and bug free, final testing and approval of the delivered product shall be the responsibility of the client.
All intellectual property rights associated with any original computer software source code developed under this agreement remain the property of Fladio International Nigeria Limited (ediaro.com). The client will be granted a royalty free, non-exclusive, irrevocable licence to reproduce, publish and use it, in part or in whole, for subsequent development of the product(s) covered by this agreement. A copy of the source code, together with its associated documentation, will be retained by both parties at the end of the contract period.
The completed project may include executable code from other sources. Fladio International Nigeria Limited (ediaro.com) will ensure that it has the necessary rights to use such code. In addition, where it is required that this code be distributed to the end-user, then Fladio International Nigeria Limited (ediaro.com) will ensure that it has the necessary rights to grant the licence as described in the previous paragraph.
The intellectual property rights associated with the user interface, screen designs and the overall ‘look and feel’ of the product will become the property of the client.
Fladio International Nigeria Limited (ediaro.com) will be appropriately acknowledged within the product and associated documentation as designers and software realisors of the product. Other personnel and organizations sub-contracted by Fladio International Nigeria Limited (ediaro.com) to carry out specific tasks will also be appropriately acknowledged within the product and associated documentation.
This agreement may be terminated at any time by the client, provided such termination is notified in writing. The client will agree to pay within 30 days all amounts due under the terms of the agreement up to the date on which notification is received, with pro-rata payment for dates which fall between scheduled payment stages. On receipt of payment, Fladio International Nigeria Limited (ediaro.com) will deliver to the client all material and software produced to date.
This agreement may be terminated at any time by Fladio International Nigeria Limited (ediaro.com)with 30 days written notice. The client will agree to pay within 30 days all amounts due under the terms of the agreement up to the agreed termination date, with pro-rata payment for dates which fall between scheduled payment stages. On receipt of payment, Fladio International Nigeria Limited (ediaro.com) will deliver to the client all material and software produced to date.
All communications between Fladio International Nigeria Limited (ediaro.com) and Client shall be by telephone, email, Skype or postal mail, except where agreed at the Fladio International Nigeria Limited (ediaro.com)’s discretion.
If there’s a need to travel to meet the client, the Travel expenses for necessary meetings and approved journeys undertaken by Fladio International Nigeria Limited (ediaro.com) staff and associates will be charged to the client at cost.
Accessibility & Web Standards
Fladio International Nigeria Limited (ediaro.com)tests sites and templates to ensure they comply with standard global best practice accessibility to Level A conformance at time of sale. Should the Client request that Fladio International Nigeria Limited (ediaro.com)alter the site or templates to meet specific standard accessibility guidelines, or if updated standard accessibility guidelines were introduced after the site or templates were sold to the Client, Fladio International Nigeria Limited (ediaro.com)reserves the right to quote separately for any additional work needed.
Level of conformance.
Fladio International Nigeria Limited (ediaro.com) tests sites and templates to ensure they comply with W3C CSS standards as they are at time of sale. Should updated W3C CSS guidelines be introduced after the site or templates were sold to the Client, Fladio International Nigeria Limited (ediaro.com)reserves the right to quote separately for any additional work needed. If the Client uses Drupal Themes or Modules, or other CMS systems that are not built by the Fladio International Nigeria Limited (ediaro.com), the overall page may not meet W3C CSS standards.
Fladio International Nigeria Limited (ediaro.com)shall make every effort to ensure sites are designed to be viewed by the majority of visitors. Sites are designed to work with the standard development platform, which includes recent versions of the main browsers, Internet Explorer and Mozilla Firefox. The Client agrees that Fladio International Nigeria Limited (ediaro.com) cannot guarantee correct functionality with all browser software across different operating systems.
The Client agrees that, following handover of files, any updated software versions of the browsers detailed in the standard development platform, including the browsers Internet Explorer and Mozilla Firefox, domain name set-up changes or hosting set-up changes thereafter may affect the functionality and display of their website. As such, Fladio International Nigeria Limited (ediaro.com)reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software, domain name or hosting changes.
The Client agrees that more advanced applications on a website page may require a newer browser version or plug-in.
Prices are subject to change without notice, but Fladio International Nigeria Limited (ediaro.com)has no hidden charges.
All quoted prices are exempt of VAT.
All invoices must be paid in full within 30 days of the invoice date, except where agreed at the Fladio International Nigeria Limited (ediaro.com)’s own discretion.
Fladio International Nigeria Limited (ediaro.com) reserves the right to decline further work on a project if there are invoices outstanding with the Client.
Fladio International Nigeria Limited (ediaro.com) reserves the right to remove its work for the Client from the Internet if payments are not received.
Liability and Warranty Disclaimer
Fladio International Nigeria Limited (ediaro.com)provides their website and the contents thereof on an ‘as is’ basis and makes no warranties with regard to the site and its contents, or fitness of services offered for a particular purpose. Fladio International Nigeria Limited (ediaro.com)cannot guarantee the functionality or operations of their website or that it will be uninterrupted or error free, nor does it warrant that the contents are current, accurate or complete.
The Client agrees that Fladio International Nigeria Limited (ediaro.com)is not liable for any bugs, performance issues or failure of their Joomla software as Joomla is open-source software distributed under the GPL (“GNU General Public License”) and is maintained and developed by a community of thousands of users and Fladio International Nigeria Limited (ediaro.com)s. Any bugs, performance issues or failure with the software will be directed to the Joomla Development community via joomla.org.
The Client agrees that Fladio International Nigeria Limited (ediaro.com)is not liable for any bugs, performance issues or failure of their wordpress software as wordpress is open-source software distributed under the GPL (“GNU General Public License”) and is maintained and developed by a community of thousands of users and Fladio International Nigeria Limited (ediaro.com)s. Any bugs, performance issues or failure with the software will be directed to the wordpress Development community via wordpress.org.
The Client agrees that Fladio International Nigeria Limited (ediaro.com)is not liable for any bugs, performance issues or failure of other related software such as open-source software distributed under the GPL (“GNU General Public License”) and is maintained and developed by a community of thousands of users and Fladio International Nigeria Limited (ediaro.com). Any bugs, performance issues or failure with the software will be directed to the Development community.
Fladio International Nigeria Limited (ediaro.com) endeavours to provide a website within given delivery time scales to the best of its ability. However, the Client agrees that Fladio International Nigeria Limited (ediaro.com)is not liable for any claims, losses, costs incurred or compensation due to any failure to carry out services within a given delivery time scale.
The Client agrees that Fladio International Nigeria Limited (ediaro.com)is not liable for any failure to carry out services for reasons beyond its control, including but not limited to acts of God, telecommunication problems, software failure, hardware failure, third party interference, Government, emergency on a major scale or any social disturbance of extreme nature such as industrial strike, riot, terrorism and war or any act or omission of any third party services.
Fladio International Nigeria Limited (ediaro.com)is not liable for any consequences or financial losses such as, but not limited to, loss of business, profit, revenue, contract, data or potential savings, relating to services provided.
On handover of files from Fladio International Nigeria Limited (ediaro.com) to Client, the Client shall assume entire responsibility in ensuring that all files are functioning correctly before use.
Whilst every effort is made to make sure files are error free, Fladio International Nigeria Limited (ediaro.com)cannot guarantee that the display or functionality of the web design or the website will be uninterrupted or error free. If, after handover of files, errors are found in code Fladio International Nigeria Limited (ediaro.com)has created and the standard development platform, domain name set-up and hosting set-up are the same as when work began, then Fladio International Nigeria Limited (ediaro.com)can correct these errors for the Client free of charge for a period of 3 months, after acceptance of the work. After the 3-month period, Fladio International Nigeria Limited (ediaro.com)reserves the right to quote separately for any work involved in correcting an error.
If, after handover of files, errors are found in code Fladio International Nigeria Limited (ediaro.com)has created and the standard development platform, or the domain name set-up or hosting set-up have been changed, Fladio International Nigeria Limited (ediaro.com)can correct errors and reserves the right to quote separately for any additional work needed as a result of changes to the browser software, domain name set-up or hosting set-up.
Should the Client go into compulsory or involuntary liquidation or cannot pay its debts in the normal course of business, Fladio International Nigeria Limited (ediaro.com)reserves the right to cancel forthwith any projects and invoice the Client for any work completed.
Fladio International Nigeria Limited (ediaro.com)shall have no liability to the Client or any third parties for any damages, including but not limited to claims, losses, lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate these web pages or website, even if Fladio International Nigeria Limited (ediaro.com)has been advised of the possibility of such damages.
There are sometimes laws and taxes that affect Internet e-commerce. The Client agrees that it is their responsibility to comply with such laws and will hold harmless, protect, and defend Fladio International Nigeria Limited (ediaro.com)and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the Client’s exercise of Internet e-commerce.
Fladio International Nigeria Limited (ediaro.com)may from time to time recommend to the Client that updates are needed to their site, including but not limited to new legislation compliance, software compatibility and web standards. Fladio International Nigeria Limited (ediaro.com) reserves the right to quote for any updates as separate work. The Client agrees that Fladio International Nigeria Limited (ediaro.com) is not liable for any failure to inform or implement these updates to their site. The Client agrees that it shall defend, indemnify, save and hold Fladio International Nigeria Limited (ediaro.com) harmless from any and all demands, liabilities, costs, losses and claims arising from omission to inform or implement these updates.
The Client agrees to use all Fladio International Nigeria Limited (ediaro.com) services and facilities at their own risk and agrees to defend, indemnify, save and hold Fladio International Nigeria Limited (ediaro.com)harmless from any and all demands, liabilities, costs, losses and claims, including but not limited to legal fees against Fladio International Nigeria Limited (ediaro.com)or its associates that may arise directly or indirectly from any service provided or agreed to be provided or any product or service sold by the Client or its third parties.
The Client agrees that this indemnification extends to all aspects of the project, including but not limited to website content and choice of domain name.
The Client also agrees to indemnify, hold harmless and defend, Fladio International Nigeria Limited (ediaro.com) against any liabilities arising out of injury to property or person caused by any product or service sold by the Client or any service provided or agreed to be provided or by third parties, including but not limited to infringement of proprietary rights, misinformation, infringement of copyright, delivery of defective services or products that are harmful to any company, person, business, or organisation.
Fladio International Nigeria Limited (ediaro.com)and any third party associates agree that, unless directed by the Client, it will not at any time during or after the term of this agreement disclose any confidential information. The Client agrees that it will not convey any confidential information about Fladio International Nigeria Limited (ediaro.com)to another party, unless directed by the Fladio International Nigeria Limited (ediaro.com).
Fladio International Nigeria Limited (ediaro.com)and any third party associates shall use information provided by the Client in relation to this agreement strictly for the purpose it was shared. This infomation will also be used to identify the Client in communications with them and to contact the Client from time to time to offer them services or products that may be of interest to or benefit the Client.
Fladio International Nigeria Limited (ediaro.com)reserves the right to terminate a project with a Client at any time without prior notification if it finds the Client in breach of these Terms and Conditions. Fladio International Nigeria Limited (ediaro.com)shall be the sole arbiter in deciding what constitutes a breach. No refunds will be given in such a situation.
Where one or more terms of this contract are held to be void or unenforceable for whatever reason, any other terms of the contract not so held will remain valid and enforceable at law.
Any and all matters pursuant to this agreement are governed by Laws of the Federal Republic of Nigeria.
By accepting a quotation or making a payment of invoice to use the services supplied, the Client acknowledges to have read, understand, and accept the Terms and Conditions of this Agreement, and agrees to be legally binding by these Terms and Conditions.
Fladio International Nigeria Limited (ediaro.com)reserves the right to alter these Terms and Conditions at any time without prior notice. The latest Terms and Conditions can be found at the

These Terms and Conditions do not affect your statutory rights as a consumer.
OUR FEES AND DEPOSITS
A At least 50% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the website design and development work.
The remaining 50% shall become due when the work is completed to your reasonable satisfaction but subject to the terms of the “approval of work” and “rejected work” clauses. We reserve the right not to commence any work until the deposit has been paid in full.
The deposit is only refundable if we have not fulfilled our obligations to deliver the work required under the agreement. The deposit is not refundable if the development work has been started and you terminate the contract through no fault of ours.
SUPPLY OF MATERIALS
You must supply all materials and information required by us to complete the work in accordance with any agreed specification. Such materials may include, but are not limited to, photographs, written copy, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount.
Where the Client fail to supply materials, and that prevents the progress of the work, Fladio International Nigeria Limited (ediaro.com)has the right to invoice you for any part or parts of the work already completed.
We are pleased to offer you the opportunity to make revisions to the design. However, we have the right to limit the number of design proposals to a reasonable amount and may charge for additional designs if you make a change to the original design specification.
Our website development phase is flexible and allows certain variations to the original specification. However any major deviation from the specification will be charged at mutually agreed rate.
PROJECT DELAYS AND CLIENT LIABILITY
Any time frames or estimates that we give are contingent upon your full co-operation and complete and final content in photography for the work pages. During development there is a certain amount of feedback required in order to progress to subsequent phases. It is required that a single point of contact be appointed from your side and be made available on a daily basis in order to expedite the feedback process.
ACCEPTANCE/APPROVAL OF WORK
Quotations are valid for 30 days from date of issue.
When the Client places an order to purchase a website or website updates from the Fladio International Nigeria Limited (ediaro.com), the order represents an offer to Fladio International Nigeria Limited (ediaro.com)to purchase the website or website updates. No contract for the supply of services exists between Client and Fladio International Nigeria Limited (ediaro.com) until Fladio International Nigeria Limited (ediaro.com)sends an invoice to the Client for payment. The invoice equals acceptance by Fladio International Nigeria Limited (ediaro.com)(or third party supplier) of the Client’s offer to purchase services from Fladio International Nigeria Limited (ediaro.com)and this acceptance of work is a valid contract between Client and Fladio International Nigeria Limited (ediaro.com) regardless of whether the Client receives the invoice.
Any other services on the order that have not been included in the invoice do not form part of the contract. The Client agrees to check that the details of the invoice are correct and should print and keep a copy for their records.
Fladio International Nigeria Limited (ediaro.com)is liable to withdraw from contract at any time prior to acceptance.
Additional work requested by the Client that is not specified in the agreed quotation is subject to an additional quotation by Fladio International Nigeria Limited (ediaro.com) on receipt of specification.
If the work is needed as part of an existing project, then this may affect time scale and overall delivery time of the project.
If a functional specification and a set of testing criteria is included within the quotation, Fladio International Nigeria Limited (ediaro.com)is responsible for fulfilling the testing criteria as the sole criteria for completion of the contract.
The Client agrees that the standard development platform is an agreeable platform for development of the website and all acceptance testing will occur only on the standard development platform. The Client further agrees that any requests relating to hardware or software outside the standard development platform will be deemed additional work.
The Client agrees to provide any needed information and content required by Fladio International Nigeria Limited (ediaro.com)in good time to enable Fladio International Nigeria Limited (ediaro.com)to complete a design or website work as part of an agreed project.
On completion of the work the Client will be notified and have the opportunity to review it. Client must notify Fladio International Nigeria Limited (ediaro.com) in writing of any unsatisfactory points within 7 days of such notification. Any of the work which has not been reported in writing to us as unsatisfactory within the 7-day review period will be deemed to have been approved. Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed and the balance of the project price will become due.
If you reject any of our work within the 7-day review period, or not approve subsequent work performed by us to remedy any points recorded as being unsatisfactory, and we, acting reasonably, consider that you have been unreasonable in any rejection of the work, we can elect to treat this contract as at an end and take measures to recover payment for the completed work.
Upon completion of the 7-day review period, Fladio International Nigeria Limited (ediaro.com)will invoice the Client for the balance of the project for payment.
Once Client has paid Fladio International Nigeria Limited (ediaro.com)in full for the work done, Fladio International Nigeria Limited (ediaro.com)grant the Client a license to use the website and its related software and contents for the life of the website.
Fladio International Nigeria Limited (ediaro.com) do not guarantee any specific position in search engine results for Client website. We perform basic search engine optimisation according to current best practice.
Fladio International Nigeria Limited (ediaro.com) shall not be liable for any loss or damage which Client may suffer which is in any way attributable to any delay in performance or completion of our contract, however that delay arises.
To the full extent permitted by law, all terms, conditions, warranties, undertakings, inducements or representations whether express, implied, statutory or otherwise (other than the express provisions of these terms and conditions) relating in any way to the services we provide to you are excluded. Without limiting the above, to the extent permitted by law, any liability of Fladio International Nigeria Limited (ediaro.com) under any term, condition, warranty or representation that by law cannot be excluded is, where permitted by law, limited at our option to the replacement, re-repair or re-supply of the services or the payment of the cost of the services that we were contracted to perform.
We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.
We (and any subcontractors we engage) agree that we will not at any time disclose any of your confidential information to any third party.
You agree to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses.
You are responsible for maintaining your own backups with respect to your website and we will not be liable for restoring any client data or client websites except to the extent that such data loss arises out of a negligent act or omission by us.
OWNERSHIP OF DOMAIN NAMES AND WEB HOSTING
We will supply to you account credentials for domain name registration and/or web hosting that we purchased on your behalf when you reimburse us for any expenses that we have incurred.
The agreement constituted by these terms and conditions and any proposal will be construed according to and is governed by the laws of Federal Republic of Nigeria. You and Fladio International Nigeria Limited (ediaro.com) submit to the non-exclusive jurisdiction of the courts in and of Federal Republic of Nigeria in relation to any dispute arising under these terms and conditions or in relation to any services we perform for you.
CROSS BROWSER COMPATIBILITY
By using current versions of well supported content management systems such as “Joomla, WOrdpress etc”, we endeavour to ensure that the web sites we create are compatible with all current modern web browsers such as the most recent versions of Internet Explorer, Firefox, Google Chrome and Safari. Third party extensions, where used, may not have the same level of support for all browsers. Where appropriate we will substitute alternative extensions or implement other solutions, on a best effort basis, where any incompatibilities are found.
You are responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify Fladio International Nigeria Limited (ediaro.com) and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.
SUPPORT LEVELS FOR WEBSITES
Detailed below are the website support levels provided by Fladio International Nigeria Limited (ediaro.com). Unless included in an accepted quote or otherwise paid for, all site hosting is provided at the basic level only.
Website will be allocated according to the hosting agreement with allowances made for occasional overcapacity. Routinely exceeding allocated bandwidth will require a higher capacity hosting agreement. Drastically exceeding bandwidth allocation will lead to your site being temporarily disabled.
No guarantee of site uptime is made. Prior performance of sites on our hosting package average a 99.9% uptime over a yearly period.
Website will be maintained on a software and hardware platform meeting its normal operational criteria as defined in the hosting agreement. Operating system and application level security upgrades will be applied to the hosting as required to maintain server security. No compatibility checking between current website and security upgrades will be conducted. Fladio International Nigeria Limited (ediaro.com) accepts no liability for incompatibilities between a hosted website and required security upgrades.
No specific backups of site content or structure will be made. It may be possible to recover site data from system level backups, if this should be required.
This would be a separate quote and outside the normal hosting agreement.
We recommend that client should at least conduct Backups in the following format:
Backups should at least be maintained on the following schedule:
Mon-Fri – Content backups.
7th, 14th, 21st, 28th of month – Full content and structure backups.
1st of month – Full content and structure backups.
Please check all aspects of your local Internet connection before placing a technical support call. Technical support will be available from the email address: email@example.com. Technical support is available only to direct employees of the client company, who will be considered authorised users.
No technical support will be provided to users of the website or other third parties.
Hosting technical support covers only the availability of the site and email facilities upon our servers. All other aspects will be charged at standard business rates. The following issues are specifically not included in technical support:
DNS issue caused by domain names hosted by third parties.
Connection to specific client networks.
Connection to website browsers other than the standard development platform.
Issues with site functionality (which are covered under Terms & Conditions of Web Development).
Recovering a site will occur without cost in the event of disaster. Site recovery for other issues would be a separate quote and outside the normal hosting agreement. Copies of backups are available to clients for purposes of auditing site changes, maintaining a clear site history, and other usages.
We want to make public our policy on refunds so that there would be no confusion in the nearest future.
All our digital products and softwares sales (Such as plugins, modules, custom application among others) are final and no refunds will be given. As the are issued under the GPL license, delivered instantly once payment is received it is impossible for you to return a product to use for a refund.
If you find a bug in our software, you can report it in the customer support center and we will fix it in the next version. Finding a bug is not a reason to request a refund.
We do not issue refunds if:
* You just change your mind
* You choose not to use our product
* You find that our product doesn’t suit your needs (Apart from anti-hacking / anti-virus solutions, we have live demos available for you before purchasing)
* You have purchased the software from us over 3 months
However, we understand that it is impossible for us to test our software on every platform and every configuration it may encounter on other servers.
Therefore if you are unable to get our software up and running on your server in the first 30 days after purchasing the software then please contact us and we will do everything within our knowledge and experience to get our software to work on your server.
If we fail to achieve this we will happily give you a full refund or exchange the product for a new product. You will need to provide us with full access to your FTP, MySQL and Joomla Admin consoles (or other platform used to test the site or application) in order for us to debug and install the software, if you can’t give us this access then we will not be able to give you a refund. Please also note, we can only issue the FULL refund within 30 days after the purchase, and we can issue the 75% refund over that.
Refunds are only issued to the same email address & account they were originally purchased with.
